BATNA Elements:
1. Vendor B is willing to do $95K/year (proven alternative)
2. Build in-house is feasible for core functionality ($250K project)
3. Alternative vendor C can go live in 16 weeks if needed

BATNA Value: $95K/year (Vendor B cost)
RESERVATION PRICE: $110K/year (our maximum walk-away price)
TARGET: $90K/year (our ideal outcome)

If vendor won't budge below $115K/year, we invoke BATNA: Go with Vendor B

弱い BATNA(現実的な代替案がない):ベンダーがすべての交渉力を握ります 強い BATNA(複数の選択肢がある):こちらが交渉力を持てます

CONTRACT NEGOTIATION - ACME Software Agreement

DEAL SUMMARY:
Vendor: ACME Corp
Product: ACME Analytics Platform
Contract Length: 3 years
Expected Annual Cost: $100K-$120K

BUSINESS OBJECTIVE:
Implement analytics platform supporting 200 users;
deliver insights by Q2 2024; total investment <$110K/year

TARGET TERMS:
- Annual cost: $90K (target), $100K (acceptable), $110K (max)

BATNA:
- Vendor B committed to $95K with 24/7 support
- Walkaway price: $110K
- Decision deadline: March 31

LEVERAGE POINTS:
- Multi-year commitment (vs. annual)
- Reference opportunity
- Strong internal implementation resources
- Reputation as solid customer (low churn, good payment)

VENDOR LEVERAGE:
- 3-month replacement risk
- Implementation complexity (high switching cost)
- Market leader (other options weaker)
- Custom integration needed

NEGOTIATION SEQUENCE:
1. Prioritize: Cost > Timeline > Support SLA
2. First offer: $85K + 24/7 support + included training
3. Counter-offers planned: Move to $95K if needed
4. Concessions: Non-critical items to trade
5. Fallback: Move to Vendor B if >$110K

TERM | STANDARD | OUR ASK | VENDOR LIKELY | REASONING
-----|----------|---------|---------------|----------
Price | $115K/yr | $90K/yr | $105K/yr | Anchor low; give ground
License Seats | Per-user | Unlimited | Per-user | Affects scalability
Term Length | 1 year | 3 years | 1 year | Longer term = lower risk
Renewal | Auto-renew | 90-day notice | Auto-renew | Avoid renewal hassles
Price Increase | 10%/year | Capped at 3% | 5% | Predictability important

"Based on market rates and our requirements, we see three key parameters:
1. Price: $85,000/year (aggressive but anchors low)
2. Support: 24/7 with 30-minute response SLA (premium support)
3. Timeline: 6-week implementation (tight but doable)

We're committed to a 3-year partnership if we can align on these terms."

"We appreciate your interest. Our standard terms are:
1. Price: $115,000/year
2. Support: 24/7 available ($15K additional fee)
3. Timeline: 10-week implementation (includes change management)

For a 3-year commitment, we can discount to $108K/year."

PRIORITY | TERM | MY TARGET | ACCEPTABLE RANGE | FALLBACK
---------|------|-----------|------------------|----------
1 | Cost | $90K | $90-100K | $105K (max)
2 | Timeline | 6 weeks | 6-8 weeks | 10 weeks
3 | Support SLA | 24/7 <30min | 24/7 <1hr | Business hours
4 | Training | Included | Included | 50% cost
5 | Data Export | Free/unlimited | Free/limited | 90-day assist
6 | Price Lock | 3 years flat | 3 years <3%/yr | 3% annual increase

ROUND 1 (Vendor asks for $108K):
- We counter: "We can go to $95K/year with strong quarterly business reviews.
That's $285K over 3 years; solid investment for you too."
- Vendor likely: "That's below our standard pricing. We could do $105K/year."

Negotiation Move 1:
- THEM: We can do $108K/year (moved down $7K)
- YOU: "Getting closer. We need $95K/year. What if we commit to 5-year term?"

Negotiation Move 2:
- THEM: 5-year term locks us in at risk. We could do $100K/year + 3-year term.
- YOU: "Smart. $100K/year works if you include 24/7 support (normally $15K)."

Negotiation Move 3:
- THEM: 24/7 support is costly. How about $100K/year + 24/7 available
but <1hr response SLA (instead of your 30 min)?
- YOU: "That works. One more item: include 2 days annual training for free
        (vs. $5K currently charged separately)."

RESULT: $100K/year, 3-year term, 24/7 support (<1 hr), included training
vs. starting point of $115K + $15K support = $130K
YOU SAVED: $30K/year = $90K over 3 years

TERM | VENDOR BENEFIT | YOUR BENEFIT | LIKELY OUTCOME
-----|----------------|--------------|----------------
Implementation support | Faster go-live | 6-week timeline | Included in $100K
Free training (40 hrs) | Higher adoption | Lower external costs | Included
Data migration assistance | Happy customer | Clean transition | Included
Dedicated account manager | Stickiness | Better support | Offer as sweetener
Quarterly business reviews | Account engagement | Strategic alignment | Included
6-month transition support | Relationship asset | Post-go-live stability | Extra but worth it
Free platform upgrade (Y2) | Deferred revenue | New capabilities | Vendor agrees easily
Early access to beta | Reference status | Innovation edge | Yes, if you agree as reference

YOU: "We're solid on $100K/year for 3 years. What if we add:
     - Public case study featuring your platform + our results
     - You on stage at our customer conference (thought leadership)
     - Quarterly lunch-and-learns with your product team

     In exchange, you include:
     - 6 months post-go-live transition support
     - Free annual training refresher
     - Priority feature requests in your roadmap"

VENDOR: "That has real value. Case studies and conference speaking
help our growth. We can commit to transition support and training.
Feature roadmap priority we can't guarantee, but we'll escalate
        your requests."

YOU: "Perfect. Let's include transition support + training + case study
     rights. That closes our deal."

Vendor: "Our price is $120,000 per year."
YOU: [Visible surprise] "Wow, that's significantly higher than our budget.
We were thinking $85-90K based on what other vendors quoted.
Are we talking about different scope?"

RESULT: Vendor second-guesses their price; opens negotiation.

Vendor: "Our best price is $110K/year."
YOU: [Pause, look at notes, don't respond for 10+ seconds]
[Vendor feels pressure to fill silence and improve offer]

RESULT: Vendor breaks silence, often with better offer.

YOU: "We appreciate your time. At $110K/year, we're going to move
forward with Vendor B who quoted $95K/year. We'd love to work
with you, but need to be fiscally responsible."

RESULT: Creates urgency; vendor may improve offer to save deal.

VENDOR: [Anchor high] "Enterprise customers pay $250K/year for this."
YOU: "That makes sense for large enterprises. We're a mid-market
company with 200 users. What's the mid-market rate?"

RESULT: Reframe the anchor; establish realistic range.

VENDOR: "That's our final offer. We can't move further."
YOU: "I understand. Just to clarify, if we add a 5-year commitment
and public case study rights, what would final look like?"

RESULT: Opens negotiation door again with new variables.
